1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Vonhex" or "we" or "us" means Vonhex Co., Ltd., registered in Thailand, with offices at 142/3 Ratchadaphisek Road, Din Daeng, Bangkok 10400.
- "Service" means any consulting engagement, assessment, or advisory service provided by Vonhex, including Leadership Alignment, Business Health Assessment, and Growth Planning.
- "Client" or "you" means the organization or individual who engages Vonhex for Services.
- "Agreement" means the service agreement or engagement letter signed by both parties in connection with a specific Service, together with these Terms and Conditions.
- "Deliverables" means any written reports, documents, frameworks, or materials produced by Vonhex in connection with a Service.
- "Engagement Fee" means the fixed fee stated in the relevant engagement agreement.
2. Acceptance of Terms
By engaging Vonhex for any Service — whether through a signed engagement letter, verbal confirmation, or payment — you agree to be bound by these Terms and Conditions. These Terms apply to all services provided by Vonhex unless a separate written agreement expressly supersedes them.
Our Services are intended for organizations and business professionals. Individual consumers and persons under 18 years of age may not engage Vonhex for Services.
3. Service Description
Vonhex provides structured business consulting engagements in the following categories:
- Leadership Alignment (฿45,000): Facilitated workshop process for executive teams, covering 3–5 structured sessions and synthesis report delivery.
- Business Health Assessment (฿28,500): Organizational diagnostic review covering financial performance, operations, talent, and market positioning, delivered as a written report with debrief session.
- Growth Planning (฿58,000): Expansion planning engagement including scenario modeling, resource forecasting, and growth blueprint delivery, conducted over 4–6 weeks.
The precise scope of each engagement is documented in a written engagement letter prior to the commencement of work. Services are available to organizations based in or operating within Thailand and the broader Southeast Asian region. Vonhex reserves the right to decline an engagement request at its discretion.
4. Engagement Process
Each engagement begins with a scope confirmation process. No work is initiated until both parties have agreed in writing on the scope, deliverables, fee, and timeline. Requests to expand scope beyond what has been agreed require written acknowledgment from Vonhex before additional work begins. Vonhex does not expand engagement scope unilaterally.
5. Payment Terms
All Services are priced as fixed fees in Thai Baht (฿). Payment terms are as follows:
- 50% of the Engagement Fee is due upon signing the engagement agreement
- The remaining 50% is due upon delivery of the final Deliverable
- Invoices are payable within 14 days of issuance
- Payments are accepted by bank transfer to Vonhex Co., Ltd.'s designated account
Late payments may incur interest at a rate consistent with applicable Thai commercial law. Vonhex reserves the right to suspend work on an engagement where payment terms are not met.
6. Cancellation and Refund Policy
If a Client cancels an engagement:
- Before commencement of work: the initial 50% payment is refunded in full, less any out-of-pocket expenses already incurred.
- After commencement but before delivery: the initial 50% payment is non-refundable. The final 50% is not due.
- After delivery of Deliverables: the full Engagement Fee is due and payable.
If Vonhex is unable to complete a Service due to circumstances within our control, we will refund the proportional portion of fees paid for work not completed.
7. Client Responsibilities
To enable Vonhex to deliver Services effectively, Clients agree to:
- Provide accurate and complete information relevant to the engagement in a timely manner
- Make key stakeholders reasonably available for interviews, workshops, and review sessions as agreed
- Designate a primary contact person for the duration of the engagement
- Ensure that information shared with Vonhex does not breach any third-party confidentiality obligations or applicable law
- Provide feedback on draft deliverables within the timeframes specified in the engagement agreement
Delays caused by the Client's failure to fulfill these responsibilities may affect delivery timelines and are not attributable to Vonhex.
8. Intellectual Property
All Deliverables produced by Vonhex under an engagement become the property of the Client upon full payment of the Engagement Fee. Vonhex retains ownership of its underlying methodologies, frameworks, tools, and general knowledge developed independently of the specific engagement.
Clients are granted a non-exclusive, non-transferable license to use Deliverables internally for the purposes of their own organizational management. Deliverables may not be commercially resold, publicly published, or represented as the work of any party other than Vonhex without prior written consent.
9. Confidentiality
Both parties agree to maintain the confidentiality of information shared during an engagement. Vonhex will not disclose Client information, organizational data, or the existence of an engagement to any third party without the Client's prior written consent, except where required by applicable Thai law or court order.
Where a formal Non-Disclosure Agreement (NDA) is requested by the Client prior to preliminary discussions, Vonhex will accommodate this request. The confidentiality provisions of any signed NDA take precedence over this section.
10. Disclaimer
Vonhex provides consulting Services for organizational advisory purposes only. Our Deliverables represent structured analysis and professional recommendations based on the information made available to us during an engagement. They do not constitute legal, financial, accounting, or regulatory advice.
Vonhex does not warrant that following recommendations in any Deliverable will produce specific organizational outcomes. All decisions arising from an engagement remain the sole responsibility of the Client's leadership team.
11. Limitation of Liability
To the fullest extent permitted by applicable Thai law, Vonhex's aggregate liability to a Client in connection with any engagement shall not exceed the total Engagement Fee paid for that engagement.
Vonhex is not liable for indirect, consequential, or incidental damages arising from the use of or reliance on any Deliverable, including but not limited to loss of revenue, loss of business opportunity, or reputational damage.
12. Indemnification
The Client agrees to indemnify and hold Vonhex harmless from any claims, losses, or expenses arising from the Client's misuse of Deliverables, breach of these Terms, or provision of inaccurate or misleading information during an engagement.
13. Force Majeure
Neither party will be liable for delays or non-performance caused by circumstances beyond their reasonable control, including natural disasters, government orders, pandemics, or significant disruptions to infrastructure. The affected party must notify the other party promptly and endeavor to resume performance as soon as reasonably practicable.
14. Termination
Either party may terminate an engagement by written notice if the other party materially breaches these Terms and fails to remedy the breach within 14 days of receiving written notice of the breach. Upon termination, the Client is responsible for fees corresponding to work completed up to the date of termination.
15. Governing Law and Dispute Resolution
These Terms and any engagement entered into under them are governed by the laws of the Kingdom of Thailand. Both parties agree to first attempt to resolve disputes informally through direct discussion. If informal resolution is not achieved within 30 days, disputes shall be submitted to the courts of Bangkok, Thailand, which shall have exclusive jurisdiction.
16. General Provisions
- Entire Agreement: These Terms, together with the relevant engagement agreement, constitute the entire agreement between the parties on the subject matter.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in future.
- Assignment: The Client may not assign rights or obligations under an engagement without Vonhex's prior written consent.
17. Changes to These Terms
Vonhex may update these Terms from time to time. The current version is always available at vonhexenes.live/terms-conditions.html. Engagements are governed by the version of the Terms in effect at the time the engagement agreement is signed. Continued use of the Vonhex website after an update constitutes acceptance of the revised Terms for website use.
